السؤال

عندي شركة استيراد وتصدير ، أستورد بضاعة من الخارج ، وأبيعها على التجار في الداخل. ما حكم العقد الجزائي الذي يجبر الزبون بدفع تعويض إذا تأخر عن تسديد ثمن السلعة ، وكذلك لتعويض الربح المتوقع في بعض الحالات ؟ وإذا ما تم هذا العقد الجزائي علي هل يحل لي أن أقوم بشرطه على زبوني أيضا ؟
نص الجواب





الحمد لله
الشرط الجزائي في العقود المالية جائز ما عدا العقود التي يكون الالتزام الأصلي فيها دَيْنًا . فلا يجوز مثلاً أن يُشترط على من اشترى سلعة بالتقسيط أن يدفع شيئًا زائدًا على هذا الثمن إن تأخر في السداد ، لأن هذه الزيادة ستكون زيادة على الدَّيْن ، وهذا ربا صريح ، أما ما عدا الدَّيْن من الحقوق والالتزامات ، فيجوز الشرط الجزائي فيها للتعويض عن الضرر ، الواقع فعلًا . جاء في قرار "مجمع الفقه الإسلامي" بشأن موضوع الشرط الجزائي :
"أولاً : الشرط الجزائي في القانون هو اتفاق بين المتعاقدين على تقدير التعويض الذي يستحقه من شُرِط له عن الضرر الذي يلحقه إذا لم ينفذ الطرف الآخر ما التزم به ، أو تأخر في تنفيذه .
ثانيًّا : يؤكد المجلس قراراته السابقة بالنسبة للشرط الجزائي الواردة في قراره في السَّلَم رقم 85 / 2 / 9 ، ونصه "لا يجوز الشرط الجزائي عن التأخير في تسليم المُسْلَم فيه ؛ لأنه عبارة عن دَيْن ، ولا يجوز اشتراط الزيادة في الدين عند التأخير" ، وقراره في الاستصناع رقم 65 / 3/7 . ونصه "يجوز أن يتضمن عقد الاستصناع شرطًا جزائيًّا بمقتضى ما اتفق عليه العاقدان ما لم تكن هناك ظروف قاهرة" ، وقراره في البيع بالتقسيط رقم 51 / 2 / 6 ، ونصه "إذا تأخر المشتري -المدين- في دفع الأقساط بعد الموعد المحدد فلا يجوز إلزامه أي زيادة على الدين ، بشرط سابق ، أو بدون شرط ، لأن ذلك ربا محرم .
ثالثًا : يجوز أن يكون الشرط الجزائي مقترنًا بالعقد الأصلي ، كما يجوز أن يكون في اتفاق لاحق قبل حدوث الضرر .
رابعًا : يجوز أن يشترط الشرط الجزائي في جميع العقود المالية ما عدا العقود التي يكون الالتزام الأصلي فيها دينًا ؛ فإن هذا من الربا الصريح .
وبناء على هذا ، فيجوز هذا الشرط – مثلاً في عقود المقاولات بالنسبة للمقاول ، وعقد التوريد بالنسبة للمورد ، وعقد الاستصناع بالنسبة للصانع -البائع- إذا لم ينفذ ما التزم به ، أو تأخر في تنفيذه .
ولا يجوز – مثلاً– في البيع بالتقسيط بسبب تأخر المدين عن سداد الأقساط المتبقية ، سواء كان بسبب الإعسار ، أو المماطلة ، ولا يجوز في عقد الاستصناع بالنسبة للمستصْنِع -المشتري- إذا تأخر في أداء ما عليه .
خامسًا : الضرر الذي يجوز التعويض عنه يشمل الضرر المالي الفعلي ، وما لحق المضرور من خسارة حقيقية ، وما فاته من كسب مؤكد ، ولا يشمل الضرر الأدبي أو المعنوي .
سادسًا :
لا يعمل بالشرط الجزائي إذا أثبت من شُرط عليه أن إخلاله بالعقد كان بسبب خارج عن إرادته ، أو أثبت أن من شُرط له لم يلحقه أي ضرر من الإخلال بالعقد .
سابعًا : يجوز للمحكمة بناء على طلب أحد الطرفين أن تعدل في مقدار التعويض إذا وجدت مبررًا لذلك ، أو كان مبالغًا فيه" انتهى من "قرارات المجمع" ص371 طبعة وزارة الأوقاف القطرية .
وبمثل هذا قالت هيئة كبار العلماء في المملكة العربية السعودية ، إذ جاء في مجلة البحوث الإسلامية :2/143. بعد مناقشة البحوث حول الشرط الجزائي :
" فإن المجلس يقرر بالإجماع : أن الشرط الجزائي الذي يجري اشتراطه في العقود شرط صحيح معتبر يجب الأخذ به ، ما لم يكن هناك عذر في الإخلال بالالتزام الموجب له يعتبر شرعًا ، فيكون العذر مسقطًا لوجوبه حتى يزول . وإذا كان الشرط الجزائي كثيرًا عرفًا بحيث يراد به التهديد المالي ، ويكون بعيدًا عن مقتضى القواعد الشرعية ، فيجب الرجوع في ذلك إلى العدل والإنصاف على حسب ما فات من منفعة أو لحق من مضرة . ويرجع تقدير ذلك عند الاختلاف إلى الحاكم الشرعي عن طريق أهل الخبرة والنظر ، عملاً بقوله تعالى "وَإِذَا حَكَمْتُم بَيْنَ النَّاسِ أَن تَحْكُمُوا بِالْعَدْلِ" وقوله سبحانه "وَلَا يَجْرِمَنَّكُمْ شَنَآنُ قَوْمٍ عَلَى أَلَّا تَعْدِلُوا اعْدِلُوا هُوَ أَقْرَبُ لِلتَّقْوَى" وبقوله صلى الله عليه وسلم "لا ضرر ولا ضرار" وبالله التوفيق ، وصلى الله على محمد وآله وصحبه وسلم" انتهى .
وبهذا يتبين أن المشتري له أن يشترط عليكم شرطًا جزائيًا إذا تأخرتم عن تسليم السلعة في الوقت المتفق عليه ، ولكن ليس لكم أن تشترطوا هذا الشرط عليه إن تأخر في سداد باقي الثمن ، ولكم أيضًا أن تشترطوا هذا الشرط الجزائي على الشركة المُصَدِّرة لكم إن حصل منها إخلال بالعقد المتفق عليه بينكم .

Penalty clauses in contracts: when are they valid and when are they not?



Question

I have an import-export company; I import goods from abroad and sell them to dealers in my country. What is the ruling on the penalty clause that compels a customer to pay compensation if he is late in paying off the price of the item, and also requires him to pay compensation for the expected profit in some cases? If I am compelled to comply with this penalty clause, is it permissible for me to stipulate it for my customers too?

Praise be to Allah. The penalty clause in financial contracts is permissible, apart from contracts in which the original commitment is in the form of credit (debt). It is not permissible, for example, to stipulate that the one who buys goods by instalments must pay something additional to the price if he delays payment, because this additional cost is in addition to the debt he owes, and that is blatant riba. Apart from credit, with regard to commitments it is permissible to stipulate a penalty clause requiring compensation based on the actual harm. It says in a statement of the Islamic Fiqh Council concerning penalty clauses:
I.
The penalty clause in law is an agreement between the two parties to a contract to work out the compensation that will be due to the one to whom the condition stipulates compensation should be given for harm that befalls him, if the other party does not fulfil to the commitment made, or delays fulfilling it.
II.
The Council confirms its previous statements with regard to penalty clauses in its statement on selling on credit (no. 85, 9/2) in which it says, “It is not permissible to stipulate a penalty in the event of delay in payment for goods bought on credit, because credit is a form of loan, and it is not permissible to stipulate additional payment in the event of delay in paying off a loan”; in its statement on production to order (no. 65, 3/7), in which it says, “It is permissible for a production order to contain a penalty clause stating what the two parties have agreed upon, unless there are circumstances beyond their control”; its statement on selling by instalments (no. 51, 2/6), in which it says: “If the purchaser (who is buying on credit) delays an instalment and does not pay it at the appointed time, it is not permissible to compel him – whether by prior condition or otherwise – to pay anything more than the sum owed, because that comes under the heading of riba, which is haraam.”
III.
It is permissible for the penalty clause to be attached to the original contract, or to be determined in a subsequent agreement, before any problem arises.
IV.
It is permissible to stipulate a penalty clause in all financial contracts, except contracts in which the original commitment is a kind of loan, because that comes under the heading of blatant riba.
Based on that, this clause is permissible – for example in deals made with contractors, import contracts for importers, production orders for manufacturers (sellers), if they do not fulfil their commitment or delay fulfilling it.
Penalty clauses are not permissible, for example, in the case of sale by instalments, if the debtor (purchaser) delays payment of remaining instalments, whether that is due to financial difficulty or are delays for no obvious reason. They are not permissible in production contracts for the purchaser, if he delays paying what is due from him.
V.
The harm for which it is permissible to pay compensation includes actual financial harm and what the affected party incurs of real loss and what he misses out on of certain earnings. That does not include intangible harm.
VI.
The penalty clause is not to be implemented if it is proven that the one on whom it was stipulated was unable to comply due to reasons beyond his control, or it is proven that the one in whose favour it was stipulated was not harmed by the failure to fulfil the contract.
VII.
It is permissible for the court, on the request of one of the two parties, to amend the amount of compensation due, if there is a reason to do so or if it was exaggerated.
End quote from Qaraaraat al-Majma‘ (p. 371), published by the Qatari Ministry of Awqaaf (Islamic Endowments).
Something similar was also stated by the Council of Senior Scholars in the Kingdom of Saudi Arabia, as it says in Majallat al-Buhooth al-‘Ilmiyyah (2/143), after quoting research on penalty clauses:
The Council states unanimously that penalty clauses that are sometimes included in contracts are valid and must be adhered to, unless there is an excuse for not meeting this condition that carries weight according to sharee‘ah; in that case the excuse becomes a reason to waive the commitment to this condition until the excuse is no longer there. If the penalty clause stipulates compensation that is too much according to what is customary, because it is intended to be a financial threat, and it is far removed from the guidelines of sharee‘ah, then the matter should be reviewed in the light of what is fair and just, on the basis of what was missed of benefits or what was incurred of harm. In the case of dispute, estimation of that should be referred to the shar‘i judge via people of experience and understanding, acting in accordance with the verses in which Allah, may He be exalted, says (interpretation of the meaning): “and that when you judge between men, you judge with justice” [an-Nisa’ 4:58] and “and let not the enmity and hatred of others make you avoid justice. Be just: that is nearer to piety” [al-Maa’idah 5:8], and the words of the Prophet (blessings and peace of Allah be upon him): “There should be neither harm nor reciprocating harm.” And Allah is the source of strength; may Allah send blessings and peace upon Muhammad and upon his family and companions. End quote.
Thus it becomes clear that the purchaser may stipulate a penalty clause in the event of delay on your part in delivering the goods at the time agreed upon, and you do not have the right to stipulate this condition on him if he delays paying the balanced owed. But you can also stipulate this penalty clause on the company that exports to you, if they fail to fulfil the terms of the contract as agreed upon between you.

Quand les contrats doivent-ils assortis de pénalités et quand ne doivent-ils pas l'être?

J'ai une société d'import / export et j'importe des marchandises que je revends à des commerçants de l'intérieur. Qu'en est il des contrats assortis de pénalité qui obligent le client à payer une compensation en cas de retard de paiement du prix de la marchandise et une compensation de l'absence du bénéfice attendu dans certains cas? Quand je signe un contrat assorti d'une pénalité m'est il permis de l'appliquer à mes clients aussi?

Il est permis d'inclure le paiement d'une pénalité dans les contrats à caractère financiers à l'exception de ceuxfondés essentiellement sur une dette. Par exemple, il n'est pas permis à celui qui achète une marchandise à payer par tranches de payer plus que le prix en cas de retard de paiement car le surplus s'ajouteraitau montant de la dette, ce qui relève de l'usure. Quant aux droits et engagements autres que les dettes, on peut les assortir d'une pénalité pour compenserun préjudice effectif.
On lit dans une résolution de l'Académie Islamique de Jurisprudence relative à la pénalité:
«Premièrement, selon le droit positif, la pénalité repose sur l'accord de deux contractantsportant sur l'évaluation de la compensation que mérite celui d'entre eux qui subirait un préjudice si l'autre partie ne respectait pas ses engagements ou tardait à le faire.
Deuxièmement, l'Académie confirme ses précédentes résolutions sur la pénalité mentionnées dans le cadre de résolution n° 85 (2/9) portant sur la ventre avec un paiement différé . En voici le texte: «Il n'est pas permis d'appliquer une pénalité en cas de retard de la livraison de l'objet d'une vente avec un paiement différécar c'une dette. Or il est interdit de prêter à condition de recevoirun surplus en cas de retard de paiement.
L'Académie a pris une résolution sous le n° 65 (3/7) portantsurune commande visantla fabrication d'un produit. En voici le texte:« Le contrat pour la fabrication d'un produit peut contenir une pénalité selon l'accord des contractants, en l'absence de circonstances contraignantes.
L'académie a pris encore une résolution sous le n° 51 (2/6) portant sur la vente assortie d'un paiement par tranches. En voici le texte: «Si l'acheteur (débiteur) tarde à payer les tranches au-delà du délai fixé, il ne sera pas tenu de payer un surplus par rapport à la dette en vertu d'une condition préalable ou en l'absence d'une condition car ce serait de l'usure interdite.
Troisièmement, la pénalité peut être incluse dans le contrat initial. Il peut encore être ajouté dans un contrat signé plus tard avant la survenue d'un préjudice.
Quatrièmement, la pénalité peut figurer dans tous les contrats à caractère financier mais pas dans les contrats fondés essentiellement sur une dette car ce serait de l'usure pure. Ceci étant, la condition de l'inclusion d'une pénalité est acceptée dans les contrats entre entrepreneurs et clients et dans les contrats sur des commandes d'importation et les contrat de fabrication. La pénalité frappe dans ce cas le fabriquant qui ne respecterait pas ses engagements ou tarderait à le faire. Dans le cas d'une vente à payer par tranches, il n'est pas permis d'imposer une pénalité au client en cas de retard du paiement des tranches; que cela soit dû à des difficultés ou à des atermoiements. La pénalité n'est pas à imposer au client dans le a cadre d'un contrat de fabrication quand le client tarde àpayer.
Cinquièmement, le préjudice à compenser doit êtreun dommage financier réel ou une perte effective en découlant ouun manque de gain constaté. Mais il ne doit pas s'agir d'un dommage purement moral.
Sixièmement, la pénalité est exclue quand elle concerne un partenaire en mesure de prouverque son non respect du contrat est indépendant de sa volonté ou que ce non respect n'a entraîné aucun préjudice.
Septièmement, le tribunal peut, sur la base d'une requête introduite par l'une des deux parties procéder à une juste évaluation du montant de la compensation quand il trouve cela justifiable ou exagéré.» Extrait des résolutions de l'Académie de Jurisprudence (p.371) édition du Ministère des Waqfs du Qatar.
Le Collège des Grands Ulémas du Royaume d'Arabiesaoudite a abondé dans le même sens car on lit dans la revue des recherches islamiques (2/143) après une discussion des recherches portant sur la pénalité:« Le Collège décide unanimement que la pénalité prévue dans les contrats est justement fondé. On doit en tenir compte en l'absence d'une excuse justifiant le non respect du contrat du point de vue religieux. La présence d'une telle excuse entraîne l'effacement de la pénalité. En cas de fréquent recours à l'exigence d'une pénalité dans le but d'en faire une menace financière bien éloignée bien éloignée des exigences de la loi religieuse, on doit s'en tenir à ce qui est juste et équitable en fonction des avantages ratés ou des préjudices subi. Si leur évaluation fait l'objet d'un contentieux, il faut se référer à l'autorité judiciaire qui, appuyé sur l'éclairage d'experts avérés, peut trancher. C'est dans ce sens que le Très-haut dit: Quand vous jugez les gens , agissez en toute justice et la parole du Transcendant:«..que la haine pour un peuple ne vous rend pas injustes. Soyez justes c'est plus proche de la crainte (d'Allah). et la parole du Prophète (Bénédiction et salut soient sur lui):Pas de préjudice à subir ni dommage à infliger
Allah est le garant de l'assistance. puisse Allah bénir et saluerMuhammad, sa famille et ses compagnons.»
Ceci indique clairement que l'acheteur peut exiger une pénalité en cas de retard de la livraison de la marchandise par rapport au délai convenu. Mais vous ne pouvez pas lui imposer une pénalité en cas de retard du paiement du reliquat du prix. En revanche , vous pouvez formuler une telle condition à l'endroit de la société exportatrice si elle ne respecte pas le contrat qui vous lie à elle.
